These Terms of Service ("Terms") govern your use of the website at gracefullymanaged.com (the "Site") and any services, training, events, or products provided by Gracefully Managed LLC ("Gracefully Managed," "we," "us," or "our").
By using the Site or purchasing services, training, or event registrations, you agree to these Terms. If you don't agree, please don't use the Site or services.
These Terms work together with our Privacy Policy. Where they overlap, both apply.
By accessing the Site, filling out any form, signing up for any service, registering for any event, or purchasing anything from us, you confirm that:

Gracefully Managed offers professional services including online business management, virtual assistant support, design and social media services, custom app and software builds, training, speaking engagements, and educational events such as Fix It Fridays and Coffee & Connections.
Our service packages (e.g., 5-hour or 10-hour packages) are sold as prepaid hour bundles. The specific scope of work, deliverables, and timeline for any engagement will be defined in a separate written service agreement signed by both parties before work begins.
Hours in a prepaid package are tracked transparently and reported regularly. Hours do not roll over indefinitely - unused hours expire 90 days from the date of purchase unless we agree otherwise in writing.
Custom builds, larger projects, and ongoing engagements are quoted separately based on scope. Custom quotes are valid for 30 days from the date issued unless stated otherwise.
We accept payment through our payment processor (Stripe). When you pay, your card information is processed securely by Stripe under their own terms and privacy policy. We don't store full card numbers ourselves.
If a payment fails, we'll reach out to resolve the issue. Work may be paused until payment is current. Repeated failed payments may result in termination of services.
We may change our pricing at any time. Existing engagements will continue at the agreed-upon rate. New engagements will be quoted at current pricing.

For us to do our best work for you, we ask that you:

All content on this website - including text, graphics, logos, images, videos, and the design itself - is the property of Gracefully Managed LLC unless otherwise indicated. You may not copy, reproduce, or republish our content without written permission, except for personal, non-commercial use.
The Gracefully Managed name, logo, and brand are trademarks of Gracefully Managed LLC.
For custom apps, designs, and other deliverables we create for you under a signed agreement: ownership of the final deliverable transfers to you upon full payment, unless otherwise stated in the project's scope agreement. We retain the right to:
You retain ownership of any content, data, brand assets, or materials you provide to us. By providing them, you grant us a license to use them as needed to deliver our services to you.
We treat the information you share with us - about your business, your strategy, your clients, your finances - as confidential. We don't share it outside our organization except as needed to deliver services or as required by law.
We expect the same in return: don't share confidential business information we share with you (pricing, methodologies, internal processes) without permission.
For sensitive engagements, we're happy to sign a more formal Non-Disclosure Agreement (NDA) - just ask.
Our site and services may include links to or integrations with third-party services (HighLevel, Stripe, Google, etc.). We're not responsible for the content, accuracy, or practices of those third parties. Their terms and privacy policies apply to your use of their services.
We do our work with care, professionalism, and skill. However, the website and services are provided "as is" and "as available" without warranties of any kind, either express or implied.
We do not warrant that:
Business outcomes depend on many factors outside our control, including your own business decisions, market conditions, and execution. We provide our best work and expertise, but we cannot guarantee specific business results.
To the maximum extent allowed by law, Gracefully Managed LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the site or services.
Our total liability for any claim related to your use of the site or services is limited to the amount you paid us in the 6 months before the claim arose, or $500, whichever is greater.
This limitation applies regardless of the legal theory of the claim (contract, tort, negligence, etc.).
You agree to indemnify and hold harmless Gracefully Managed LLC, its owner, and any contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of the site or services, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of Kansas, without regard to its conflict of laws principles.
Any dispute arising from these Terms or your use of our services will be resolved as follows:
1. First, by direct conversation. We try to resolve issues directly and quickly.
2. If we can't resolve it directly, by mediation through a mutually agreed mediator.
3. If mediation fails, by binding arbitration in Cherokee County, Kansas, under the rules of the American Arbitration Association.
You waive any right to a jury trial or to participate in a class action against us.
We may update these Terms at any time. When we do, we'll update the "Last updated" date at the top of this page. Continued use of the site or services after changes are posted means you accept the updated Terms.
For significant changes that affect existing service agreements, we'll notify affected clients by email.
We may terminate or suspend access to the site or services at any time, without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties.
You may stop using the site at any time. If you have an active service package, the refund and cancellation policy above applies.
These Terms, together with our Privacy Policy and any signed service agreement, are the entire agreement between you and Gracefully Managed LLC regarding your use of the site and services. They replace any prior agreements on the same subject.
If any provision of these Terms is found to be unenforceable, the rest of the Terms still apply.
