Terms of Service

The agreement between you and Gracefully Managed when you use this website or our services.

INTRODUCTION

These Terms of Service ("Terms") govern your use of the website at gracefullymanaged.com (the "Site") and any services, training, events, or products provided by Gracefully Managed LLC ("Gracefully Managed," "we," "us," or "our").

By using the Site or purchasing services, training, or event registrations, you agree to these Terms. If you don't agree, please don't use the Site or services.

These Terms work together with our Privacy Policy. Where they overlap, both apply.

ACCEPTANCE OF TERMS

By accessing the Site, filling out any form, signing up for any service, registering for any event, or purchasing anything from us, you confirm that:

  • You're at least 18 years old (or have a parent/guardian's consent)
  • You have the legal authority to enter into a binding agreement
  • The information you provide is accurate and current
  • You agree to be bound by these Terms

USE OF THE WEBSITE

You're welcome to use this site for its intended purposes - learning about our services, contacting us, booking calls, registering for events, and purchasing services or trainings.

You agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the site or our systems
  • Interfere with or disrupt the site, our servers, or our networks
  • Scrape, copy, or republish content from the site without permission
  • Impersonate any other person or entity
  • Use the site to harm, harass, or defraud others
  • Upload or transmit viruses, malware, or other harmful code

We reserve the right to terminate access for anyone who violates these terms.

SERVICES AND PACKAGES

Gracefully Managed offers professional services including online business management, virtual assistant support, design and social media services, custom app and software builds, training, speaking engagements, and educational events such as Fix It Fridays and Coffee & Connections.

Service Packages

Our service packages (e.g., 5-hour or 10-hour packages) are sold as prepaid hour bundles. The specific scope of work, deliverables, and timeline for any engagement will be defined in a separate written service agreement signed by both parties before work begins.

Hours and Time Tracking

Hours in a prepaid package are tracked transparently and reported regularly. Hours do not roll over indefinitely - unused hours expire 90 days from the date of purchase unless we agree otherwise in writing.

Custom Quotes

Custom builds, larger projects, and ongoing engagements are quoted separately based on scope. Custom quotes are valid for 30 days from the date issued unless stated otherwise.

PAYMENTS

Payment Methods

We accept payment through our payment processor (Stripe). When you pay, your card information is processed securely by Stripe under their own terms and privacy policy. We don't store full card numbers ourselves.

When Payment Is Due

  • Service packages: Payment is due in full before work begins, unless we've agreed in writing to a different arrangement.
  • Trainings, events, and Fix It Fridays: Payment is due at the time of registration.
  • Custom builds: Payment terms (deposits, milestones, final payment) will be set in the project's signed scope agreement.

Failed Payments

If a payment fails, we'll reach out to resolve the issue. Work may be paused until payment is current. Repeated failed payments may result in termination of services.

Pricing Changes

We may change our pricing at any time. Existing engagements will continue at the agreed-upon rate. New engagements will be quoted at current pricing.

REFUND AND CANCELLATION POLICY

Service Packages

  • Before work begins: You may cancel a service package within 7 days of purchase for a full refund, provided no work has started. Once work has begun, refunds are issued only for unused hours, prorated, and minus any non-recoverable third-party costs (software licenses, stock images, etc.).
  • After work begins: Hours used are non-refundable. Unused hours within an active package may be refunded prorated (minus a 10% administrative fee) at our discretion if requested in writing.
  • Expired hours: Hours that expire past their 90-day window are non-refundable.

Trainings and Events

  • Fix It Fridays ($15): Refundable up to 24 hours before the session. Within 24 hours, you can reschedule once to a future Friday at no additional cost, but refunds are not provided.
  • Paid trainings and workshops: Refundable up to 7 days before the event. Within 7 days, the registration may be transferred to another person or rescheduled to a future training, but refunds are not provided. No-shows are not refunded.
  • Coffee & Connections: Free events. No refund applies. RSVPs can be canceled at any time.

Custom Builds

  • Refunds for custom build work follow the milestone-based payment structure defined in the signed scope agreement. Generally, payments made for completed milestones are non-refundable.
  • If we're unable to complete a project due to circumstances on our end, we will refund any unused portion of the deposit minus work already completed.

Speaker Engagements

  • Cancellation more than 30 days before the event: Full refund of any deposit paid.
  • Cancellation 14-30 days before the event: 50% of deposit refunded.
  • Cancellation within 14 days of the event: Deposit is non-refundable, as we will have already prepared and reserved that date.

How to Request a Refund

Email [email protected] with your refund request and details. We respond to refund requests within 5 business days.

CLIENT RESPONSIBILITIES

For us to do our best work for you, we ask that you:

  • Provide accurate, complete, and timely information
  • Respond to questions and approval requests promptly so projects don't stall
  • Provide access to systems, accounts, or files we need to do the work
  • Treat us and our team with respect (we extend the same to you)

Delays caused by lack of client response or input may extend project timelines and don't entitle you to a refund.

INTELLECTUAL PROPERTY

Our Content

All content on this website - including text, graphics, logos, images, videos, and the design itself - is the property of Gracefully Managed LLC unless otherwise indicated. You may not copy, reproduce, or republish our content without written permission, except for personal, non-commercial use.

The Gracefully Managed name, logo, and brand are trademarks of Gracefully Managed LLC.

Custom Builds and Deliverables

For custom apps, designs, and other deliverables we create for you under a signed agreement: ownership of the final deliverable transfers to you upon full payment, unless otherwise stated in the project's scope agreement. We retain the right to:

  • Showcase the work in our portfolio (with your name and logo, unless you ask us not to)
  • Reuse general code patterns, frameworks, and methodologies that are not specific to your business
  • Retain ownership of any pre-existing tools, templates, or frameworks we use to deliver your project

Your Content

You retain ownership of any content, data, brand assets, or materials you provide to us. By providing them, you grant us a license to use them as needed to deliver our services to you.

CONFIDENTIALITY

We treat the information you share with us - about your business, your strategy, your clients, your finances - as confidential. We don't share it outside our organization except as needed to deliver services or as required by law.

We expect the same in return: don't share confidential business information we share with you (pricing, methodologies, internal processes) without permission.

For sensitive engagements, we're happy to sign a more formal Non-Disclosure Agreement (NDA) - just ask.

THIRD-PARTY SERVICES AND LINKS

Our site and services may include links to or integrations with third-party services (HighLevel, Stripe, Google, etc.). We're not responsible for the content, accuracy, or practices of those third parties. Their terms and privacy policies apply to your use of their services.

WARRANTIES AND DISCLAIMERS

We do our work with care, professionalism, and skill. However, the website and services are provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

  • The site will be uninterrupted, error-free, or completely secure
  • Any specific results, outcomes, or revenue will follow from using our services
  • Our services will meet every expectation you have

Business outcomes depend on many factors outside our control, including your own business decisions, market conditions, and execution. We provide our best work and expertise, but we cannot guarantee specific business results.

LIMITATION OF LIABILITY

To the maximum extent allowed by law, Gracefully Managed LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the site or services.

Our total liability for any claim related to your use of the site or services is limited to the amount you paid us in the 6 months before the claim arose, or $500, whichever is greater.

This limitation applies regardless of the legal theory of the claim (contract, tort, negligence, etc.).

INDEMNIFICATION

You agree to indemnify and hold harmless Gracefully Managed LLC, its owner, and any contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of the site or services, your violation of these Terms, or your violation of any law or third-party right.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Kansas, without regard to its conflict of laws principles.

Any dispute arising from these Terms or your use of our services will be resolved as follows:
1. First, by direct conversation. We try to resolve issues directly and quickly.
2. If we can't resolve it directly, by mediation through a mutually agreed mediator.
3. If mediation fails, by binding arbitration in Cherokee County, Kansas, under the rules of the American Arbitration Association.

You waive any right to a jury trial or to participate in a class action against us.

CHANGES TO THESE TERMS

We may update these Terms at any time. When we do, we'll update the "Last updated" date at the top of this page. Continued use of the site or services after changes are posted means you accept the updated Terms.

For significant changes that affect existing service agreements, we'll notify affected clients by email.

TERMINATION

We may terminate or suspend access to the site or services at any time, without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties.

You may stop using the site at any time. If you have an active service package, the refund and cancellation policy above applies.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any signed service agreement, are the entire agreement between you and Gracefully Managed LLC regarding your use of the site and services. They replace any prior agreements on the same subject.

If any provision of these Terms is found to be unenforceable, the rest of the Terms still apply.
